1. Acceptance of terms

These Terms & Conditions («Terms») govern your access to and use of Really, a service operated by Incode Ltd. («Really,» «we,» «us,» or «our»), a private limited company registered in England and Wales under company number 14084814, with its registered office at [registered address], London, United Kingdom. By creating an account or otherwise using Really (the «Service»), you agree to be bound by these Terms. If you’re using the Service on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms.

2. The service

Really connects to sources you authorise, such as Google Drive, Microsoft OneDrive, uploaded files, and call recordings, and indexes them into a searchable memory that you or a connected AI model can query. Features may be added, changed, or removed over time.

3. Eligibility and accounts

You must be at least 18 years old and able to form a legally binding contract to use the Service. You’re responsible for keeping your account credentials confidential and for all activity that occurs under your account. Notify us promptly at [email protected] if you suspect unauthorised use.

4. Connected sources and third parties

When you connect a third-party source (such as Drive, OneDrive, a calendar, or an AI model), you confirm that you have the right to share that content with Really and to authorise us to access and process it as described in our Privacy Policy. Your use of any third-party service is also governed by that provider’s own terms, and we are not responsible for those services.

5. Acceptable use

You agree not to:

  • use the Service for any unlawful purpose or in breach of any applicable law;
  • connect content you don’t have the right to share, or that infringes anyone else’s rights;
  • attempt to gain unauthorised access to the Service, other accounts, or our systems;
  • reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent permitted by applicable law;
  • use the Service to build a competing product or to train a third-party model without our prior written consent;
  • interfere with or disrupt the integrity or performance of the Service.

6. Your content

You retain all ownership rights to the files, recordings, and other content you connect or upload to Really («Your Content»). You grant us a limited, non-exclusive, worldwide licence to host, process, and analyse Your Content solely to provide and improve the Service. This licence ends when you delete Your Content or close your account, subject to our Privacy Policy.

7. AI-generated answers

Answers generated through Really are produced by AI models and may be inaccurate, incomplete, or out of date. You should independently verify any information before relying on it for important decisions. Really is a memory and retrieval layer. It is not a substitute for professional advice.

8. Fees and subscriptions

Certain features of the Service may require a paid subscription. If you sign up for a paid plan, you agree to pay the fees shown at checkout, including any applicable VAT. Fees are non-refundable except where required by law. If you are a consumer, you may have a statutory right to cancel within 14 days of purchase. By asking us to start providing the Service immediately, you acknowledge that you may lose some or all of that right once the Service has been provided. We’ll give active subscribers advance notice of any pricing changes.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, or if we discontinue the Service, with notice where reasonably possible. On termination, your right to use the Service ends, and we’ll handle Your Content as described in our Privacy Policy.

10. Disclaimers

To the fullest extent permitted by law, the Service is provided «as is» and «as available,» and we exclude all warranties, conditions, and terms, whether express or implied by statute, common law, or otherwise, including those relating to satisfactory quality, fitness for a particular purpose, and non-infringement. We don’t guarantee that the Service will be uninterrupted, error-free, or completely secure. If you are a consumer, nothing in these Terms affects your statutory rights.

11. Limitation of liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

Subject to the above, Incode Ltd. will not be liable for any indirect or consequential loss, or for any loss of data, revenue, profits, business, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service, whether in contract, tort (including negligence), or otherwise, will not exceed the amount you paid us in the twelve months before the claim arose.

12. Indemnification

You agree to indemnify Incode Ltd. against any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your breach of these Terms.

13. Governing law

These Terms, and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes or claims), are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim. If you are a consumer living in Scotland, Northern Ireland, or another country, you may also bring proceedings in your local courts and benefit from any mandatory consumer protections under your local law.

14. Limited Use Disclosure

Really’s use and transfer of information received from Google APIs to any other app will adhere to the Google API Services User Data Policy, including the Limited Use requirements

15. Changes to these terms

We may update these Terms from time to time. If we make material changes, we’ll notify you by email or through the Service before the changes take effect. Continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
